Terms and Conditions

The general terms and conditions that apply to all offers and agreements under which Mithra-AI Solutions B.V. supplies goods and/or services are the ICT~Office Terms and Conditions. These are the standard terms of the Dutch ICT sector, drawn up by ICT~Office.

Use of the Mithra platform and services is governed by these terms in combination with the Master Services Agreement and Data Processing Agreement entered into with each customer.

Structure of the terms

The ICT~Office Terms and Conditions consist of a General module, which applies to every offer and agreement, together with one or more specific modules depending on the goods or services supplied. Where a specific module conflicts with the General module, the specific module prevails. The specific modules are:

• Software license
• Development of software
• Maintenance of software
• Application Service Provision, Software as a Service and Computer Service
• Development and maintenance of a website
• Webhosting
• Secondment services
• Courses and training programmes
• Advice, consultancy and project management
• Other services
• Sale of ICT, telecommunication and office equipment and other goods
• Renting out ICT, telecommunication and office equipment
• Maintenance of ICT, telecommunication and office equipment
• Internet access
• Telecommunication services
• Financing and leasing of ICT

Applicability

Additions to or deviations from these general terms and conditions apply only where agreed in writing between the parties. The applicability of any of the client's purchasing or other conditions is expressly rejected. If any provision is null and void or is voided, the remaining provisions remain fully in effect, and the parties will consult to agree replacement provisions that reflect the purpose of the original as far as possible.

Governing law

These terms are governed by the laws of the Netherlands. The full, binding text is the document filed with the Chamber of Commerce; the summary above is provided for orientation only and does not replace it.
